1. Introduction and Acceptance

Important Legal Agreement

These Terms of Service constitute a legally binding agreement between you and InvoiceNow biz - F.Z.C. regarding your use of our e-invoicing compliance solutions.

2. Service Description

Our core services include: Accredited Service Provider (ASP) solutions, UAE Federal Tax Authority (FTA) compliance, Peppol DCTCE framework implementation, real-time invoice validation and reporting, XML/JSON invoice processing, and VAT compliance verification.

3. Eligibility and Requirements

To use our services, you must: be a legally registered business entity, have valid business licenses, meet VAT registration requirements, comply with local regulations, and provide accurate business information.

4. Fees, Payment, and Billing

Fee structure includes setup/implementation fees, monthly/annual subscriptions, and transaction-based processing fees. Payment terms: 30 days unless otherwise agreed, in UAE Dirhams (AED).

5. Compliance and Regulatory Changes

We strive to maintain compliance with MoF requirements, FTA regulations, Peppol framework specifications, ISO 22301, and ISO/IEC 27001. Ultimate regulatory compliance remains your responsibility.

6. Limitation of Liability

We maintain professional indemnity, cyber fraud, and crime insurance as required for ASP accreditation. Total liability is limited to fees paid in the 12 months preceding a claim, with a maximum of AED 500,000 per occurrence.

7. Termination

Termination rights include material breach (30 days notice), insolvency, or as specified in service agreements. Data export and transition assistance provided upon termination.

8. Dispute Resolution

Resolution process: 1) Direct negotiation, 2) Mediation, 3) Arbitration (DIAC), 4) UAE courts. Governing law: UAE Federal Law and Ajman Free Zone regulations.
